Uwisely (“we”, “us”, “our”) is an online learning and digital content service that provides educational videos, quizzes, interactive tools and other digital content, which may be accessed via the internet, mobile networks and/or mobile carriers’ billing systems.

2. Eligibility

2.1 You must be at least 18 years old, or the age of majority in your country, or have the consent of a parent or legal guardian, to use the Service.

2.2 By using the Service, you confirm that:

•  You have the legal capacity to enter into a binding agreement, and
•  You are not prohibited from using the Service under any applicable law.

 

3. Description of the Service

 

3.1 Uwisely provides access to:

•  Online learning videos and courses
•  Quizzes, tests and learning activities
•  Educational and informational content
•  Other digital services that may be added from time to time

 3.2 The exact features and content available to you may vary depending on:

•  Your country
•  Your mobile carrier
•  The subscription plan or offer you have accepted

 3.3 We may update, change or remove parts of the Service at any time, including content, features or pricing, in order to improve the Service or comply with legal or commercial requirements.

 

4. Subscription, Billing and Fees

 4.1 Subscription Model

Access to Uwisely may be offered on a subscription basis, pay-per-use basis, or as part of a promotional offer. Details of the applicable pricing, billing frequency and included features will be presented to you at the point of subscription (e.g. landing page, operator portal, SMS, or in-app screen).

 4.2 Mobile Operator Billing

In some countries the Service may be billed through your mobile phone bill or deducted from your prepaid balance via your mobile operator or billing aggregator. By subscribing, you authorize:

•  Your mobile operator and/or billing partner to charge you the applicable fees, and
•  Us to receive confirmation of your payments for the purpose of providing the Service.

 4.3 Charges and Taxes

All fees are stated inclusive or exclusive of taxes as specified in the offer. Additional data charges may be applied by your mobile operator for using the Service over mobile networks. You are responsible for:

•  All subscription or usage fees specified in the offer, and
•  Any additional costs charged by your operator (data, SMS, roaming, etc.).

 4.4 Renewal and Recurring Charges

Unless stated otherwise:

•  Subscriptions renew automatically at the stated frequency (e.g. daily, weekly, monthly) until you cancel.
•  You authorize recurring charges according to the price and frequency presented to you at the time of subscription.

4.5 Free Trials & Promotions

We may offer free trials or promotional periods. The conditions (duration, price after the trial, any limitations) will be clearly indicated. At the end of a free trial, unless you cancel before it ends, the Service may convert automatically to a paid subscription at the regular price. 

4.6 Cancellation

You may cancel your subscription at any time by following the instructions provided in:

•  The service welcome message
•  The operator’s portal or subscription management page
•  Our website or customer support channels
•  Cancellation stops future charges but does not automatically result in a refund for past charges, unless required by local law.

 4.7 Refunds

Refunds are generally not provided for partial periods, unused content, or accidental subscriptions, except where required by applicable law or at our sole discretion. If you believe you have been charged in error, please contact:

5. Account Registration and Security

5.1 To access some parts of the Service, you may need to create an account, provide a mobile number, or authenticate with a one-time password (OTP) or similar method.

 5.2 You must provide accurate and complete information and keep it up to date.

 5.3 You are responsible for:

•  Keeping your login details, OTPs and devices secure, and
•  All activities that occur under your account or via your mobile number.

 5.4 If you suspect unauthorized use of your account or mobile number, you must notify us immediately.

 

6. Use of the Service

 6.1 Personal, Non-Commercial Use

The Service is provided for your personal, non-commercial use only. You may not share, resell, or commercially exploit any part of the Service without our prior written consent.

 6.2 Prohibited Uses

You agree not to:

•  Use the Service for any illegal purpose or in violation of any law or regulation;
•  Copy, record, redistribute, transmit, publicly perform or display content except as expressly allowed;
•  Circumvent or attempt to circumvent any technical protection or access control;
•  Introduce viruses, malware or any harmful code;
•  Attempt to gain unauthorized access to our systems or other users’ accounts;
•  Use the Service in a way that could damage, disable, overburden or impair our infrastructure.

 6.3 We may monitor usage to protect the Service, comply with legal obligations and enforce these Terms.

 

7. Content, License and Intellectual Property

 7.1 All content available through the Service, including but not limited to videos, text, graphics, logos, icons, images, software and trademarks (“Content”), is owned by Uwisely or our licensors and is protected by copyright and other intellectual property laws.

 7.2 Limited License

Subject to your compliance with these Terms and any applicable subscription conditions, we grant you a limited, non-exclusive, non-transferable, revocable license to:

•  Access and view the Content on your personal devices,
•  For your own personal, non-commercial educational purposes.

 7.3 Restrictions

You may not:

•  Copy, download, reproduce or distribute the Content except as explicitly allowed by the Service interface;
•  Modify, adapt, translate, reverse engineer or create derivative works based on the Content or any part of the Service;
•  Use any automated means to access the Service (e.g. bots, scrapers) unless expressly permitted.

 7.4 Nothing in these Terms transfers any ownership rights in the Service or Content to you.

 

8. User Content

 8.1 You may have the option to submit comments, answers, messages, feedback or other content (“User Content”).

 8.2 You remain the owner of your User Content, but by submitting it you grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to:

•  Use, store, reproduce, modify, adapt, publish, translate, distribute and display such User Content in connection with operating and improving the Service.

 8.3 You are responsible for ensuring that your User Content:

•  Does not infringe any intellectual property, privacy or other rights;
•  Is not unlawful, offensive, defamatory, hateful, or otherwise inappropriate.

 8.4 We reserve the right (but have no obligation) to remove or restrict any User Content that we consider, in our sole discretion, to be in violation of these Terms or applicable law.

9. Third-Party Services and Links

 9.1 The Service may include links to third-party websites, apps or services, or may be offered through third parties such as mobile operators, billing aggregators or partners.

 9.2 We do not control, endorse or assume responsibility for:

•  The content, privacy policies or practices of any third-party site or service, or
•  Any acts or omissions of mobile operators or billing providers.

 9.3 Your use of third-party services is at your own risk and may be governed by separate terms and policies.

 

10. Service Availability and Changes

 10.1 We aim to provide a stable and high-quality Service, but we do not guarantee that the Service will be:

•  Available at all times, uninterrupted or error-free;
•  Free from delays, technical issues or network failures.

 10.2 We may temporarily suspend or limit the Service for maintenance, updates or security reasons, or permanently discontinue parts of the Service where necessary.

 10.3 Where required by law or regulation, we will provide reasonable notice of any significant changes that negatively affect your use of the Service.

 11.1 No Professional Advice

The educational, fitness, wellness, nutrition or other informational content provided via Uwisely is for informational and learning purposes only. It does not constitute professional medical, legal, financial or other advice. Always consult a qualified professional for any specific questions or concerns.

 11.2 Use at Your Own Risk

You use the Service at your own risk. To the maximum extent permitted by law, the Service and all Content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to:

 Implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

 11.3 We do not warrant that:

 The Service will meet your requirements or expectations;

 The learning outcomes or results you desire will be achieved;

 Any errors or defects will be corrected.

 

12. Limitation of Liability

 12.1 To the fullest extent permitted by law, Uwisely and its directors, employees, partners, affiliates and agents shall not be liable for any:

•  Indirect, incidental, special, consequential or punitive damages;
•  Loss of profits, revenue, data, goodwill or other intangible losses;
•  Any damages arising out of or in connection with your use of, or inability to use, the Service.

 12.2 If, despite the above, we are found liable to you, then our total aggregate liability for all claims relating to the Service shall not exceed the total amount you have paid to us for the Service during the three (3) months immediately preceding the event giving rise to the claim, or the minimum amount required by applicable law if higher.

 12.3 Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

 

13. Indemnity

 You agree to indemnify, defend and hold harmless Uwisely, its affiliates, partners, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with:

•  Your access to or use of the Service;
•  Your violation of these Terms;
•  Your violation of any rights of another person or entity.

 

14. Privacy

 14.1 Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store and share your personal data.

 14.2 By using the Service, you agree that your personal data may be processed in accordance with our Privacy Policy and applicable data protection laws.

 

15. Termination and Suspension

 15.1 We may suspend or terminate your access to the Service, with or without notice, if:

•  We are required to do so by law or by a competent authority;
•  The Service is discontinued in your territory.

 15.2 You may stop using the Service at any time and, if you are on a subscription, you may cancel following the instructions provided in Section 4.6.

17. Governing Law and Dispute Resolution

These Terms, together with any additional conditions presented at the point of subscription and our Privacy Policy, constitute the entire agreement between you and Uwisely regarding the Service.

 18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

 18.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

 18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to another entity as part of a merger, acquisition, reorganization or sale of assets, or by operation of law.
